Hello and welcome to the Terms and Conditions of Use of the SIGALEI Platform!

Through the SIGALEI platform, one of OPENLEX's products, we provide a tool to help your company build strategies and consider every scenario and its impacts. With assertive information and detailed analysis, the service enables risk anticipation, mitigation of negative impacts and the development of a workflow that allows the proper management of the political and regulatory risk tied to our clients' activities.

This is done in 4 steps: risk monitoring through a data-mining process, full analysis by subject-matter experts accompanying the user, sharing via exportable reports on the tracked topic, and measurement of how that risk actually impacts the user's business.

The General Terms and Conditions of Use below govern access and use of the SIGALEI Platform and help define your relationship with OPENLEX, to the extent of your interaction with the SIGALEI Platform. They are important because they set out:

• the minimum requirements to use SIGALEI services, set forth in the introduction;
• the possibilities of changes and restrictions on the use of the Platform;
• what we expect from you when using the platform, as well as what you must not do when using SIGALEI;
• intellectual property rights regarding the content you find and add to the platform;
• how legal rights may be exercised in case of problems or disputes arising from this relationship.

The conditions governing the use of SIGALEI are set forth in this document, which is an integral part of the Privacy Policy published on the site, and both documents must be read and interpreted together. Both documents constitute the entire agreement between the Parties regarding the use of the platform and supersede all prior written or oral agreements, with the exception of the commercial terms agreed between the parties.

1. Introduction

To use the services, features and user interface of the SIGALEI platform, you must register by providing personal data or data of the legal entity you are linked to. The user agrees to the use of such data for the purposes described in the Privacy Policy, and is entirely responsible for the quality, accuracy and updating of such data.

By registering, you enter into a contract with OPENLEX whereby you undertake to respect and comply with all provisions herein. Your contract with us includes these terms and any additional ones you may agree to after they are made available to you. If you do not agree with the present terms or any future amendments, as well as with the Privacy Policy published on our site, you must stop using the platform's services or accessing its contents.

Tolerance or non-exercise by either Party of any rights granted under these Terms or applicable law shall not amount to novation or waiver of those rights. Furthermore, if any clause or condition of these Terms is declared null and void, in whole or in part, for any legal or contractual reason, the remaining clauses shall remain in force.

Finally, the rights and obligations under this instrument may be assigned or transferred, in whole or in part, by either party without the prior written consent of the other, provided this is done in the context of corporate reorganizations, mergers, acquisitions, spin-offs or incorporations.

2. General Platform Use Guidelines

We have established a few rules for you to use the SIGALEI platform, to ensure it remains a safe space for us and for users. We expect you to follow these rules and to encourage other users on your team, if any, to do the same.

First, you agree that the content available on the platform is intended to enable efficient political-regulatory risk management for your business. Secondary uses, especially those far removed from this essential purpose, are discouraged and prohibited when the new purpose is unlawful.

Additionally, you are entirely responsible for taking care of your access credentials. You must create strong passwords and not share them with any third parties, since any interactions performed with your credentials will be attributed exclusively to you. You are aware, from now on, that the intelligence of the SIGALEI Platform is sourced from databases with public access, by querying databases of governmental bodies and institutions, or data made manifestly public by their own holders.

3. What We Expect from You

1. Use the Platform under the conditions and assumptions authorized by these Terms of Use, while also respecting current legislation and the rights of third parties.
2. Take possible security measures so that you and/or third parties do not violate any OPENLEX intellectual property right.
3. Communicate to us immediately, or within a reasonable/justifiable timeframe, any breach of intellectual property, information security or data protection of which you become aware.
4. When adding information to your tracking page in the "notes" field — something that is permitted — you promise that:
   • (a) you will add only content relevant to the analysis of the contents and topics already tracked by you through the platform;
   • (b) the added content does not violate these terms of use or any other rights established by applicable laws, intellectual property, publicity, personality, or third-party rights, notably information related to natural persons connected to the topics you track through the platform;
   • (c) you are adding truthful content verifiable by trusted media outlets, preferably official sources of the Brazilian State.
5. Constantly update your topics of interest or those of your institution, to allow for the best performance of SIGALEI's intelligence.
6. Absolute responsibility for the contents added to notes, to contribute to the monitoring carried out by our intelligence.

4. What You Must Not Do When Using the Platform

When using SIGALEI's services, it is not permitted to:

1. Use the platform in any way that intentionally or unintentionally violates applicable regulations or laws, particularly regarding unlawful acts based on information obtained through the platform.
2. Use the platform to send, knowingly receive, upload, download, use or reuse any material that does not comply with the Content Rules provided in these Terms.
3. Sell, rent, sublicense or lease any part of the SIGALEI platform service or your credentials.
4. Use any robot, network crawler or other device, automated process or means to access the platform for any purpose, including to monitor or copy any material on the platform.
5. Use any device, software or routine that interferes with the proper functioning of this platform.
6. Attempt to obtain unauthorized access to, interfere with, damage or disrupt any parts of this platform, the server on which it is stored, or any server, computer or database connected to SIGALEI.

Failure to comply with any obligation provided in this clause (or that we reasonably believe to be in breach of these Terms of Use) authorizes us, regardless of prior notice, to block or suspend the use of the platform, or parts of it, for an indeterminate period. You are solely and exclusively responsible for any damages you may suffer due to improper use of the Platform, as well as any damages you may cause to third parties for the same reason.

5. Changes to Services or the Platform

Any improvements or additions to the services or the platform shall be subject to these Terms of Use, unless OPENLEX expressly establishes otherwise. If necessary, we may also introduce specific sets of terms and conditions for specific services that may be incorporated into the SIGALEI platform later.

The terms of use may be modified at any time to promote updates and improvements necessary for the SIGALEI platform. In case of material changes, you will be notified by electronic message or through the platform itself, so that you can review and accept the implemented changes before continuing to use the Platform. If you disagree with the terms of use, you may cancel your account, terminating the contractual relationship set forth in these terms.

6. Intellectual Property

At OPENLEX we respect our users' intellectual property rights and expect the same from you. Use of the SIGALEI platform is by way of licenses granted on a non-transferable and non-sublicensable basis. The license may be revoked at any time by OPENLEX, with respect to part or all of the SIGALEI Platform, principally — but not limited to — in the event of infringement of any provision of these terms or reasonable suspicion thereof.

All databases, texts, images, photos, illustrations, icons, technologies, links and other visual, audiovisual or sound content, including source codes and software of the SIGALEI Platform, are the exclusive property of OPENLEX. Additionally, you are aware that some content licensed, provided or made available by OPENLEX may contain advertising of our own or of third parties, commercial partners as part of the content.

If you provide us with feedback, ideas or suggestions via chatbot or other communication channel, you acknowledge that this will not be confidential and authorize us to use such feedback without restrictions or payments to you, for the improvement of our service — for example, rethinking our interaction with you, our content and our advertising, and such content may be used for any form of support and promotion of OPENLEX's activities.

7. Limitations of Liability

OPENLEX is not responsible for unavailability or any errors and/or failures of the Platform, nor for any difficulty in access, problems and inconsistencies arising from Internet signal or inadequacy of data entered by you that may affect the Platform's performance. Additionally, we will not be responsible for information security incidents and data leaks arising from software, hardware used by you and other outdated protection technologies, or those incapable of providing mechanisms capable of preventing such occurrences, nor in case of providing your credentials to third parties not properly added as users of your organization.

When exporting a report containing, in addition to platform data, notes from your team, OPENLEX shall not be held responsible in any way for the content of such notes or any losses and damages the user may suffer as a result of information added by them in this part of the platform. Likewise, we will not be responsible for the use of information acquired through the platform for purposes other than the assessment of political-regulatory risk for your business, including any moral and material damages caused by such misuse. Furthermore, we will not be responsible for the adequacy and accuracy of the information available on the platform, as it is collected directly from various public sources, which are responsible for its maintenance and quality.

In case of interruptions, unavailability or technical difficulties caused by necessary maintenance/updates, OPENLEX will not be liable for damages arising from the unavailability of the platform or its services, in whole or in part. Finally, the platform may display hyperlinks or advertisements to other sites over which we have no control regarding the content or resources provided, and we are therefore not responsible for them or for any losses or damages arising from their use.

8. Applicable Law and Jurisdiction

Any judicial measure or extrajudicial procedure arising out of or related to these Terms of Use shall be subject to the laws of the Federative Republic of Brazil, with the Capital District of the State of São Paulo elected as the competent venue to resolve any dispute arising from these Terms of Use.
